ITEM 1.01—ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On November 23, 2015, BMBM and Timur Turlov entered into the Acquisition Agreement, by which BMBM acquired FFIN, in exchange for 224,551,913 shares of BMBM’s common stock, which constituted approximately 80.1% of its 280,339,467 shares of issued and outstanding common stock after giving effect to such acquisition.

FFIN proposes to conduct business as a U.S. securities broker-dealer and proposes to file applications to become a member of FINRA and a licensed securities broker-dealer with the SEC and applicable state securities commissions.

Outside of the business from the Freedom Companies, we may also market or advertise our services in the United States, but have not determined the scope or direction of that effort.

The Acquisition Agreement also provides for our possible acquisition of the Freedom Companies (Freedom RU, including its subsidiary Freedom KZ, and Freedom CY) in separate closings. The acquisitions of Freedom RU and Freedom CY are separate transactions that are not interdependent, so we may acquire either, both, or none of such companies.

Sorry my russian is very bad. I registered here, because i believe based on the plan and the growth rate this company will be a top 10 broker in Russia in the following 2 years and it will probably trade dollars after all acquisitions are closed.

Unfortunately company did not release news about the merger yet and well i was tired of the dead trading at a low pps and wanted to share it with you, because you know this company and Americans do not know FFIN, they are probably skeptical because it comes from Russia and wait on the sideline.

It was a $8 Amex stock years ago, then previous company sold assets, paid a $1 dividend and a $.30 dividend and after it stock was 4 years a dead shell. This is the reason stock still trades low and of course without news, no one finds out about it. This will change sooner or later, but i prefer sooner! :lol:

There are not many shares of the 37m float left at this level. The stock is thinly traded, most shareholders hold, but we need more buyers. It is too good to trade that low. This company is in a good financial position and grows from month to month!
